1. Acceptance of Terms

By accessing or using https://byteforgex.site (“the Site”) and/or our services (“Services”), you agree to comply with and be bound by these Terms & Conditions (“Terms”). If you do not agree, please discontinue use immediately.

2. Services Overview

ByteForgeX offers digital solutions including web/mobile development, UI/UX design, data analytics, AI implementation, and related consulting services. Details of the Services are available on our Site or through direct communication.

3. Eligibility

You must be at least 16 years old (or older if required by law) to use our Site or Services. By accepting these Terms, you affirm that you meet this requirement.

4. User Responsibilities

6. Service Agreements & Ordering

  • Formal delivery of Services is subject to a separate Service Agreement or proposal.

  • Proposals include scope of work, delivery timeline, payment terms, and intellectual property terms.

  • By accepting a proposal (via email, signed agreement, or purchase order), you agree to its terms in addition to these Terms.

7. Payment & Fees

  • Fees are specified in your Service Agreement or invoice.

  • Payment terms (e.g., deposit, milestones, or net 30 days) are defined per project.

  • Late payments may incur interest at 1.5% per month or the maximum allowed by law.

8. Cancellations & Refunds

  • Cancellations must be submitted in writing.

  • Refunds for prepaid work are subject to deduction for completed work and incurred expenses.

  • Ongoing retainer or subscription Services are canceled at the end of the current billing cycle, unless otherwise agreed.

9. Confidentiality

  • Each party agrees to maintain confidentiality regarding proprietary or confidential information received during performance of the Services.

  • Confidential information excludes information already public, rightfully received from third parties, independently developed, or disclosed by law.

10. Warranties & Disclaimers

  • We warrant that Services will be performed professionally and in line with agreed specifications.

  • Except where prohibited by law, all other warranties—express or implied, including merchantability and fitness for purpose—are disclaimed to the fullest extent.

11. Limitation of Liability

  • To the fullest extent allowed by law, ByteForgeX and its affiliates and employees shall not be liable for indirect, incidental, special, or consequential damages.

  • Our total liability under any claim arising from these Terms or the Services (regardless of cause) shall not exceed the total amount paid by you under the applicable Service Agreement or proposal in the past 12 months.

12. Indemnification

You agree to indemnify and hold ByteForgeX, its officers, agents, and employees harmless from any claims, losses, damages, costs, or expenses arising out of your violation of these Terms or your misuse of the Site or Services.

13. Modification of Terms

We may update these Terms at any time. We will post changes with an updated “Effective Date” at the top. Continued use of the Site or Services after changes means you accept the revised Terms.

14. Termination

  • Either party may terminate a Service Agreement upon material breach if the other fails to remedy such breach within 30 days of notice.

  • On termination, you are responsible for payment of all fees incurred up to the date of termination.

15. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Pakistan, without regard to conflict of law principles.

  • Any disputes shall be first attempted to resolve through good-faith mediation. If unsuccessful, disputes will be brought exclusively to the courts of Lahore, Pakistan.

16. Severability

If any provision of these Terms is deemed invalid or unenforceable, that provision will be severed and shall not affect the validity of the remaining Terms.

17. Entire Agreement

These Terms, together with any Service Agreement or proposal and our Privacy Policy, constitute the entire understanding between you and ByteForgeX, superseding any prior agreements or representations.
